By accessing our website, applications, or service agreements, you agree to comply with the terms outlined below.

1. Acceptance of Terms

Using OVLYC Software products or services means you accept these Terms & Conditions in full.
If you do not agree with any section, you should discontinue using our services.
Additional project-specific agreements may apply and will take precedence where explicitly stated.

2. Service Scope

OVLYC Software provides cloud-based SaaS products, IT support, integration services, and custom software development.
Service features vary by subscription plan, proposal scope, and signed agreement terms.
We may improve, modify, or discontinue non-critical features to maintain service quality and innovation.

3. Account & Access Responsibility

Clients are responsible for maintaining confidentiality of account credentials and access controls.
Any activity performed through authorized accounts is considered the responsibility of the account owner.
Unauthorized access attempts, credential sharing abuse, or system misuse may result in immediate suspension.

4. Billing, Payments & Renewals

All invoices must be paid within the stated billing cycle to keep services active.
Subscription renewals follow the active monthly or yearly plan unless otherwise agreed in writing.
Late payments may lead to access limitations, service suspension, or delayed support delivery.
Payments are non-refundable unless explicitly defined in a signed written agreement.

5. License & Usage Restrictions

OVLYC Software grants a limited, non-transferable license to use subscribed services.
You may not copy, resell, reverse-engineer, clone, or redistribute our proprietary systems without written approval.
Any unauthorized modification, exploit attempt, or infrastructure abuse is strictly prohibited.

6. Custom Project Delivery

Custom software or website projects are delivered based on approved scope, timeline, and milestone terms.
Scope changes, additional modules, or revisions outside agreement may require extra cost and time.
Final ownership transfer for custom deliverables applies after full payment clearance.

7. Data Security & Privacy

OVLYC Software follows reasonable technical and operational safeguards to protect client data.
Clients must also ensure secure endpoint devices, strong passwords, and authorized access practices.
Data handling is subject to our Privacy Policy and applicable legal compliance requirements.

8. Suspension & Termination

We reserve the right to suspend accounts for non-payment, policy violations, fraudulent behavior, or security risks.
Either party may terminate service by written notice under agreed contractual terms.
On termination, access rights and license privileges are revoked unless otherwise stated in writing.

9. Limitation of Liability

OVLYC Software is not liable for indirect, incidental, or consequential losses resulting from service misuse or third-party failures.
Our total liability is limited to the amount paid for the affected service period, unless law requires otherwise.
Clients are responsible for maintaining backups and continuity plans for critical business operations.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of Bangladesh.
Disputes should first be resolved through mutual discussion and arbitration where applicable.
Jurisdiction for unresolved legal matters shall be Dhaka District Court.
