OVLYC Software ("Company," "we," "our," or "us") provides business automation software, SaaS platforms, IT support, and custom digital solutions. By engaging with our services, becoming a partner, or using our software, you ("Client," "Partner," "Reseller," or "Customer") agree to abide by these Terms & Conditions. These conditions ensure clarity, compliance, and mutual growth for all stakeholders.

1. Partnership Conditions

All partnerships require a signed Authorized Partnership Agreement.
Partners may promote OVLYC Software products under the OVLYC POS brand or as white-label solutions, strictly within the licensing framework.
Commission benefits: 50% on initial registration and 25% on subscription renewals, unless otherwise agreed in writing.
Partners are strictly prohibited from altering, customizing, or reverse-engineering OVLYC Software products.
We reserve the right to revoke partnership for unethical practices, false claims, or breach of agreement.

2. Payment Conditions (OVLYC POS Platform)

Registration Fee (One-time): Includes 20-year licensing rights, security certification, updates, and premium support.
Subscription Fee (Monthly/Yearly): Covers SaaS infrastructure, hosting, maintenance, real-time operations, and technology updates.
Invoices must be cleared on time to avoid suspension of services.
All payments are non-refundable unless explicitly agreed in writing.

3. Reseller Conditions

Written approval is required to act as an official or white-label reseller.
Resellers must not misrepresent features, overprice, or provide unauthorized modifications.
Contracts under reseller brands must align with OVLYC Software compliance standards.
Monthly commissions are calculated from verified renewals and registrations.
OVLYC POS is exclusively SaaS-based and cannot be hosted on shared hosting.

4. Custom Software & Website Conditions

Projects are executed based on signed proposals and defined scope.
Additional requirements or modifications incur extra costs.
Delivery timelines are indicative; client-side changes may extend schedules.
Full ownership is transferred to the client only after complete payment.
Support and bug fixes are provided under an active SLA (Service Level Agreement).

5. OVLYC POS Customer Conditions

OVLYC POS is a cloud-based SaaS platform (not installable on shared hosting).
Customer access is limited to modules defined by their active subscription plan.
Features include POS, Inventory, CRM, HRM, Expense Management, Invoicing, Courier Integration, SMS Marketing, Reporting, Multi-branch, and more.
Unauthorized reselling or redistribution is strictly prohibited.
We guarantee 24/7 uptime and lifetime operability of our SaaS system.
Automatic upgrades and feature rollouts are included at no extra cost.

6. Ready Software & Website Conditions

Solutions are delivered as-is with standard functionality.
Paid customizations may be requested and will be reviewed by OVLYC Software.
No refunds are applicable once a license is activated.
Unauthorized resale, cloning, or redistribution is prohibited.
Clients must ensure correct hosting setup, domain, and third-party integrations.

7. Legal & Compliance

Governed by the laws of Bangladesh.
Disputes must go through arbitration before legal proceedings.
Jurisdiction: Dhaka District Court.
Either party may terminate with 30 days written notice upon material breach.
Termination revokes all rights to use OVLYC Software products and solutions.

8. Final Declaration

This Terms & Conditions document represents the complete agreement between OVLYC Software and its Clients, Partners, and Resellers.
All stakeholders acknowledge their responsibilities, payment obligations, and compliance commitments as outlined above.
